Spark Genie: Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services offered by Spark Genie. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By engaging Spark Genie for website creation or management services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use our services.
2. Services Provided
Spark Genie provides two core services designed for tradespeople, contractors, and blue-collar professionals:
2.1 Website Creation
We will design, build, and launch a professional, mobile-friendly website based on the specifications and content provided by the client.
2.2 Website Management Service
For an ongoing monthly fee, Spark Genie will manage and maintain the Client’s website. This includes, but is not limited to:
Regular software and security updates.
Performance monitoring.
Minor content adjustments (specific limits defined in the service agreement).
Website hosting services (if applicable to the agreement).
3. Fees and Payment
3.1 Website Creation Fee
The fee for website creation is a one-time charge, payable as outlined in the initial service agreement.
3.2 Website Management Fee
The ongoing monthly fee for the Website Management Service is $79 per month (the "Monthly Fee").
The Monthly Fee is billed in advance on a recurring monthly cycle.
Payment is due on the date specified in your invoice.
Failure to pay the Monthly Fee within 10 days of the due date may result in the suspension of the management service and/or the website being taken offline.
3.3 Changes to Fees
Spark Genie reserves the right to adjust the Monthly Fee after providing clients with at least thirty (30) days' written notice.
4. Client Responsibilities
The Client agrees to:
Provide all necessary content, images, and branding materials required for website creation in a timely manner.
Ensure that all content provided is accurate, legal, and does not infringe on the rights of any third party.
Cooperate with Spark Genie as necessary to complete the project and maintain the service.
5. Intellectual Property
5.1 Client Content
The Client retains all ownership rights to the text, images, logos, and data provided to Spark Genie for the website.
5.2 Spark Genie Content
Spark Genie retains ownership of all underlying code, intellectual property (IP), and general design frameworks used to build the website, excluding the Client's unique content. Upon full payment of all fees, the Client is granted a perpetual, non-exclusive license to use the final website design and structure.
6. Limitation of Liability
Spark Genie shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising out of the use or inability to use the services.
7. Termination
7.1 Termination by Client
The Client may cancel the Website Management Service at any time by providing thirty (30) days' written notice. The Client will be billed for the current month and the service will terminate at the end of the billing cycle.
7.2 Termination by Spark Genie
Spark Genie may terminate the services immediately if the Client breaches any term of this agreement (e.g., failure to pay fees).
